These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or "User") and Yu Plus Co., Ltd. ("we," "us," or "our"), the operator of MAFICA, an AI Company OS ("MAFICA" or the "Service"). By creating an account, accessing, or using MAFICA, you agree to be bound by these Terms. If you are using MAFICA on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
If you do not agree to these Terms, do not use the Service.
Placeholder notice: Our registered business name and address have been confirmed and are reflected throughout this document and the Commercial Transaction Act page. One field remains open: Section 13's designated court of first instance for dispute resolution.
MAFICA is a software-as-a-service platform that connects to a business's existing systems (currently, Shopify stores) and uses a system of specialized AI models to observe business data, generate recommendations, and — only after a human approves them — execute approved actions. MAFICA is built around the following components:
MAFICA is not a general-purpose chatbot and does not act as your accountant, lawyer, tax advisor, or financial advisor. See Section 9 (Disclaimers) and the AI Usage Policy.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.
MAFICA organizes accounts into Workspaces. A Workspace represents one business (one "tenant") and its own isolated Company Memory, Wallet, and connected integrations. Some multi-Workspace and team-invitation features are still being rolled out; where a feature described in the product is not yet fully available to you, the in-product interface will say so rather than silently failing.
You retain all ownership rights to the business data you connect to or input into MAFICA (order data, product data, facts, meeting notes, KPIs, and similar records collectively, "Your Data"). You grant us a limited license to process Your Data solely to (a) operate and provide the Service to you, (b) generate the AI outputs, recommendations, and Company Memory search results the Service is designed to produce, and (c) as otherwise described in the Privacy Policy. We do not sell Your Data, and we do not use Your Data to train foundation models operated by third-party AI providers beyond what those providers' own data-handling terms permit for API usage (see the AI Usage Policy).
You represent that you have the right to connect the data sources (e.g., your Shopify store) you connect to MAFICA, and that doing so does not violate any third party's rights or any agreement you have with that third party (including your Shopify Partner or merchant agreement).
MAFICA's AI components are designed to ground their responses in Your Data and to disclose when grounding data is insufficient, rather than inventing figures. This design intent does not eliminate the possibility of error. You are solely responsible for reviewing and verifying any AI-generated recommendation, analysis, draft, or content before relying on it or approving its execution through Decision Gate. MAFICA is a decision-support tool, not a substitute for your own business judgment or for professional advice (legal, tax, financial, or accounting).
Where MAFICA's AI Employees produce creative content (for example, ad creative, social post drafts, or Creative Briefs), you are responsible for reviewing that content for accuracy, appropriateness, and compliance with the terms of any third-party platform (e.g., Instagram, Threads) before publishing it, and for compliance with applicable advertising and consumer-protection law.
5.1 Credits. MAFICA uses a virtual currency called "Credits" ("Cr") to meter usage of AI-powered Capabilities, Automation, and Workflow executions. Credits are not legal tender, are not redeemable for cash except as required by law, and have no value outside the Service. The current conversion rate is 1,000 Credits = US $1.00; this rate is disclosed on the Pricing page and may change prospectively with notice as described in Section 5.5.
5.2 Purchasing Credits. Credits are purchased in packages listed on the Pricing page (currently: Free, Creator, Professional, Business, and Enterprise). Purchases are processed through PayPal, the sole payment method MAFICA currently supports; MAFICA does not accept Shopify Payments, Apple Pay, Google Pay, or credit/debit cards directly. By purchasing Credits, you authorize the corresponding charge through your PayPal account.
5.3 Usage. Credits are debited from your Wallet at the time a Capability, Automation, or Workflow step actually executes. If your Wallet balance is insufficient to cover the estimated cost of an action, the action will not execute and no Credits will be debited; the interface will show an "insufficient Credits" state rather than executing partially.
5.4 Refunds. Credits are generally non-refundable once purchased, except: (a) where required by applicable consumer-protection law, (b) where a Credit purchase was made in error and you contact us within a reasonable time, or (c) for Marketplace purchases, per the refund process described in Section 7.5. Credits already consumed by an executed action are not refundable on the basis that you disagreed with or did not use the AI's output, since the compute cost of generating that output has already been incurred.
5.5 Changes to Pricing. We may change Credit package pricing, conversion rates, or the Credit cost of specific Capabilities prospectively. Changes will not retroactively affect Credits you have already purchased. We will provide reasonable advance notice of material pricing changes through the Service or by email.
5.6 Enterprise Plans. The "Enterprise" tier is priced individually by agreement and is not subject to the standard package pricing on the Pricing page.
MAFICA connects to third-party services you choose to authorize, including Shopify and, where you connect them, Instagram and Threads, and other integrations listed in the Integration Center. Your use of those third-party services remains governed by their own terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services, including changes those services make to their APIs that affect MAFICA's functionality. Disconnecting an integration does not automatically delete data already synced into Company Memory; you may request deletion as described in the Privacy Policy.
7.1 Roles. The AI Business Marketplace allows registered "Publishers" to list AI Employees, Capabilities, Automation Flows, and integrations ("Assets") for other Users to install, at a price the Publisher sets (free, one-time Credit purchase, recurring Credit subscription, or a custom quote arranged directly between the Publisher and buyer).
7.2 Publisher Responsibilities. If you become a Publisher, you represent that: (a) you own or have the right to distribute everything in your Asset, including any underlying prompts, code, or creative content; (b) your Asset does not infringe any third party's intellectual property, contain malware, or violate applicable law; and (c) your Asset's description accurately represents what it does. We may review, reject, suspend, or set an Asset's status to "Deprecated" through the Moderation Center at our discretion, including in response to abuse reports or intellectual-property (DMCA-style) claims.
7.3 Publisher Verification Is Not Identity Verification. MAFICA's Publisher "KYC" status (Not Started / Pending / Verified / Rejected) reflects a manual review flag set by one of our moderators as part of the payout-eligibility process. It is not a government identity-verification, anti-money-laundering, or "know your customer" compliance check in the regulated financial-services sense, and buyers should not treat "Verified" status as a guarantee of a Publisher's legal identity, business legitimacy, or the quality of their Assets. We disclose this plainly because we believe it would be misleading to imply otherwise.
7.4 Revenue Share and Payouts. For paid Assets, revenue is split 80% to the Publisher and 20% retained by us as a platform fee, credited to the Publisher's Wallet as sales occur. Publishers may request a withdrawal of their Wallet balance to their registered PayPal account; withdrawal requests are held pending manual operator approval and are not transferred automatically — there is always a human review step before funds move. Publishers are solely responsible for any taxes owed on their Marketplace earnings.
7.5 Buyer Refunds. If you purchase an Asset that does not work as described, is fraudulent, or infringes a third party's rights, contact us; refunds for Marketplace purchases are handled case-by-case and may result in the Asset being uninstalled from your Workspace.
7.6 Reviews and Reports. Reviews may only be posted by Users who have purchased or installed the relevant Asset ("Verified Purchase"). You may report an Asset for spam, intellectual-property infringement, malware, or misleading content; we will review reports through the Moderation Center.
You agree not to: (a) use MAFICA to violate any law or third party's rights; (b) attempt to reverse-engineer, extract training data from, or circumvent usage limits of MAFICA's underlying AI models; (c) use MAFICA to generate content that is fraudulent, defamatory, or infringing; (d) publish an Asset on the Marketplace that you do not have the right to distribute; (e) attempt to bypass Decision Gate's human-approval requirement through unauthorized access to the underlying APIs; or (f) resell or sublicense access to the Service without our written consent, other than through the Marketplace's own affiliate-link mechanism.
THE SERVICE, INCLUDING ALL AI-GENERATED OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED RECOMMENDATIONS, ANALYSES, OR CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR BUSINESS DECISION. YOU ASSUME FULL RESPONSIBILITY FOR ANY ACTION YOU APPROVE THROUGH DECISION GATE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR CREDITS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD 100. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH, PERSONAL INJURY, OR FRAUD.
You may stop using MAFICA and request deletion of your account data at any time, as described in the Privacy Policy. We may suspend or terminate your access to the Service if you materially breach these Terms, including the Prohibited Uses in Section 8, or if required to do so by law. Upon termination, your right to use the Service ends immediately; unused Credits are handled per Section 5.4. Sections 4, 5.4, 9, 10, 12, and 13 survive termination.
We may update these Terms from time to time. If we make a material change, we will provide reasonable notice (for example, through the Service or by email) before the change takes effect. Your continued use of MAFICA after a change takes effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of Japan, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service is intended to be subject to the exclusive jurisdiction of a specifically designated Japanese court of first instance, unless applicable consumer-protection law in your jurisdiction requires otherwise. The specific court has not yet been designated and requires confirmation by a qualified legal professional before publication (NEEDS PROFESSIONAL LEGAL REVIEW).
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy, Cookie Policy, and AI Usage Policy, constitute the entire agreement between you and us regarding the Service. Our failure to enforce a provision is not a waiver of that provision.
